Welcome to EMBY Technology. These Terms and Conditions govern your use of our website and the software development services we provide. By engaging our services or accessing our website, you agree to be bound by these terms. Please read them carefully.

1. Acceptance of Terms

By accessing our website at embytechnology.com, requesting a consultation, signing a project agreement, or using any service provided by EMBY Technology, you confirm that you have read, understood, and agree to these Terms and Conditions in full. If you do not agree, please do not use our services.

2. Services We Provide

EMBY Technology provides technology services including but not limited to:

• Custom web application and software development
• Mobile application development (iOS & Android)
• SaaS product design and development
• and cashbook system development
• UI/UX design and prototyping
• Cloud infrastructure setup and DevOps services
• Digital marketing and SEO services

All services are delivered as described in a signed project proposal or service agreement. We reserve the right to modify or discontinue services with reasonable notice.

3. Client Obligations

To ensure timely and successful delivery of your project, you agree to:

• Provide accurate, complete, and timely information required for project execution
• Designate a point of contact who has authority to make project decisions
• Review and approve deliverables, mockups, and milestones within the agreed timeframe
• Make payments according to the agreed payment schedule
• Provide legal rights or licenses for any content, trademarks, or assets you supply

Delays caused by failure to fulfil the above obligations may result in revised project timelines and additional costs.

4. Payment Terms

Payment terms are outlined in each project agreement. General terms include:

• An upfront deposit (typically 30–50%) is required before project commencement
• Milestone payments are due upon approval of each defined deliverable
• Final payment is due prior to final code delivery or deployment to production
• Invoices are payable within 7 business days of issue unless otherwise agreed
• Late payments may attract a penalty of 1.5% per month on outstanding amounts

All prices are in Indian Rupees (INR) unless otherwise specified. Applicable taxes (GST) will be added to all invoices.

5. Intellectual Property

Upon receipt of full and final payment, all custom code, designs, and deliverables created specifically for your project are transferred to you as the client. You will own the intellectual property of the final deliverable.

EMBY Technology retains ownership of:

• Pre-existing frameworks, libraries, and tools used in development
• Proprietary internal tools and development methodologies
• Any work not yet fully paid for

Third-party libraries and open-source components used in your project remain subject to their respective open-source licences.

6. Confidentiality & NDA

EMBY Technology treats all client information as strictly confidential. We sign Non-Disclosure Agreements (NDAs) upon client request before project kick-off. Both parties agree not to disclose the other's confidential business information to third parties without prior written consent.

This obligation of confidentiality survives the termination of any project agreement for a period of two (2) years.

7. Warranty & Support

All projects include a 30-day free bug-fix warranty from the date of final delivery. During this period, we will fix any functional defects in the deliverables at no additional charge. This warranty does not cover:

• Changes to requirements after delivery
• Issues caused by third-party services or APIs outside our control
• Hosting, server, or infrastructure failures
• New feature requests

8. Limitation of Liability

To the fullest extent permitted by law, EMBY Technology shall not be liable for:

• Indirect, incidental, or consequential damages arising from the use of our services
• Loss of profits, data, or business opportunities
• Any damages exceeding the total amount paid by the client for the specific project

EMBY Technology makes no guarantees regarding specific business outcomes, search engine rankings, app store approvals, or revenue generated from delivered products.

9. Termination

Either party may terminate a project agreement with 14 days written notice. Upon termination:

• The client is liable for payment of all work completed up to the termination date
• Work completed and paid for will be delivered to the client
• Unpaid work remains the property of EMBY Technology

EMBY Technology reserves the right to terminate services immediately if a client engages in unlawful activity, harassment, or violation of these terms.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.
